1. Who we are and what this covers

"NY Fragrance Supply", "we", "us" and "our" mean NY Fragrance Supply, the operator of nyfragsupply.com. "You" means anyone who visits, browses, or buys from the site. "Site" and "Services" mean this website along with its content, tools, product listings, and the orders we fill through it.

These Terms of Service, together with our Shipping Policy and Returns Policy, are the agreement between you and us. Read them before you order, because they include limits on our liability and on how disputes get resolved.

By using the site or placing an order, you agree to these terms. If you do not agree with them, please do not use the site.

2. Using this site

Age and capacity

You need to be at least 18, or the age of majority where you live, to buy from us. If a minor in your household uses a device you own or manage to browse the site, you are responsible for that use.

Your information and account

Checkout asks for an email, a shipping address, and payment details. You agree that what you give us is accurate, current, and yours to give, and that you will keep it up to date so we can fill your order and reach you about it. If you create a customer account, keeping your login private is on you, and you are responsible for what happens under it. Accounts are not transferable.

Things you cannot do here

Use the site lawfully and leave it working for everyone else. You agree not to:

• Break any law, or use the site to help someone else break one
• Infringe our intellectual property or anyone else's
• Harass, threaten, or abuse our staff or other customers
• Submit false, misleading, or stolen payment or identity information
• Scrape, spider, or bulk harvest our listings, prices, images, or customer data
• Upload malicious code, probe our security, or interfere with how the site runs
• Impersonate another person or business

If you do any of the above, we can suspend or close your access at any time, without notice.

3. What we sell

Authenticity and independence

Every fragrance we sell is genuine and sourced from authorized channels. We are an independent reseller, not an authorized dealer, and we are not affiliated with, endorsed by, or sponsored by any brand on this site. Brand names, logos, and bottle designs belong to their owners and appear here only to identify the genuine products we sell.

Samples

A sample is fragrance we hand pour from an authentic full bottle into a clean glass atomizer, labeled with the house and the scent. It is the same juice in a smaller container. Samples are not sold, packaged, or represented as original manufacturer packaging, and they do not carry any manufacturer warranty. Fill volumes are accurate to the size you order, with a small tolerance for what stays behind in the transfer.

Listings, photos, and availability

We offer note descriptions and product images in an effort to display and describe products accurately. Many product images come from third party sources and are there to identify the fragrance, not to show the exact unit you will receive. Colors, juice tint, and packaging can look different on your screen than in your hand, and houses reformulate and redesign packaging without telling resellers, so a batch may differ from the image shown.

Descriptions, notes, and pricing can change at any time. We can discontinue a product, limit quantities per person or per order, or stop selling to a region, at our discretion.

Fragrance is a personal care product

Fragrance is flammable and is for external use only. Keep it away from heat, flame, eyes, and children. Patch test if you have sensitive skin. Nothing on this site is medical advice, and we are not liable for a reaction to a product used as sold.

4. Orders

When an order becomes an order

Placing an order is an offer to buy, not a completed sale. We accept it when we confirm it and your payment clears. Check your cart before you submit, because samples are filled to order and we may not be able to change or cancel once filling starts. If we decline, change, or cancel an order, we will try to reach you at the email or phone number on the order.

Cancellations and changes

Need to change an address or cancel? Email us right away with your order number. If it has not shipped, we will sort it out. Once it is with the carrier, our Shipping Policy takes over.

Our right to refuse an order

We can refuse service, cancel an order, or close an account at our discretion, including when:

• The order looks like it came from a reseller, dealer, or dropshipper
• Fraud screening flags the order as high risk
• The billing and shipping details do not line up, or the address cannot be verified
• The buyer has a history of chargebacks, disputes, or broken terms
• Someone is abusive or threatening toward our team
• A listing had a pricing or stock error

If we cancel after you have paid, you get a full refund to the original payment method.

Personal use, not resale

We sell to people who wear fragrance. By ordering, you confirm the purchase is for your own personal or household use and not for commercial resale, wholesale, dropshipping, or export. We do not do blind shipping, we do not omit packing slips, and we do not remove our labels or branding from an order. If we determine an order is for resale, it loses eligibility for returns, replacements, and shipping claims, and all risk of loss passes to the buyer.

5. Prices and payment

Prices

All prices are in US dollars and can change without notice. The price you pay is the price shown when you place the order, as listed in your confirmation email. Posted prices do not include sales tax or shipping unless we say so. Any retail price we show for comparison is a manufacturer suggested price gathered from public sources, and it may differ from what a given store charges today.

Payment

Checkout runs on Shopify, which handles payment securely. We never see or store your full card number. By submitting an order you confirm you are authorized to use the payment method, and you authorize the full order total, including tax and shipping, to be charged when the order is confirmed. If you pay in another currency, your bank sets the exchange rate and any fees.

Promotions and discount codes

Codes and sales run for a set window and have to be applied at checkout. We do not apply codes after the fact or issue price adjustments for orders placed before a sale started or after it ended. Unless a promotion says otherwise, one code per order. We can change, pause, or end any promotion at any time.

Chargebacks

If something is wrong with your order, email us first. We answer fast and we would rather fix it than fight a bank. Filing a chargeback on a legitimate order, or on an issue our Returns and Shipping policies already cover, is a breach of these terms. For fraudulent disputes we reserve the right to contest the claim with full documentation, recover the funds and any fees, refuse future orders, and refer the matter to the appropriate authorities. Opening a dispute while we are actively working a claim with you or the carrier ends that process, and the outcome then rests with your bank.

6. Shipping and risk of loss

Full details live in our Shipping Policy. The parts that matter legally:

Transit times are estimates

Delivery dates from us or from a carrier are estimates, not guarantees. We are not responsible for carrier delays, weather, or anything else outside our control. Once we hand a package to the carrier, title and risk of loss pass to you.

United States only

Fragrance is a flammable liquid, so we ship to US residential and business addresses only. We do not ship internationally and we do not support freight forwarders or reshipping services. If you or a third party forwards a package outside the US, that voids returns and any shipping claim, and we are not responsible for loss, damage, theft, or customs seizure after our delivery to the US address. We may cancel and refund an order addressed to a known forwarding facility.

Signature confirmation

Higher value orders may ship with signature required. If nobody is there to sign, the carrier may hold the package at a local facility, and picking it up in time is your responsibility.

Address changes and redirects

We are responsible for shipping to the address you entered at checkout. If you use a carrier tool to intercept, hold, reroute, or change the delivery instructions after a package leaves us, you take on the risk of loss, theft, damage, or misdelivery, and that redirect voids return eligibility and any shipping claim.

Damage, loss, and theft claims

Email us within 7 days of delivery, or of the date tracking says delivered, with your order number and clear photos of the item, all sides of the box including the label, and the interior packing exactly as you found it. Keep all packaging until the claim is closed, because carriers can ask to inspect it. A few specifics:

• If a box arrives visibly tampered with or crushed, refuse it or note the damage with the carrier at delivery
• Send real photos of the actual shipment, not AI generated or stock images
• Carrier investigations can take several business days, and a lost or stolen claim may need a police report
• Stay reachable by phone and email while a carrier investigation is open, or the claim can be denied

Approved claims are resolved with a replacement, a refund, or store credit. Discarding the packaging or missing the 7 day window can end your claim.

Short or missing items

If something is missing from your box, tell us within 48 hours of delivery and keep everything until we close it out. We need photos of the outer box with the label attached, every piece of packing material, the packing slip, and all the items you did receive laid out together in one shot. Every order is photographed next to its packing slip before it is sealed, and the carrier records the parcel weight at pickup, so we check your claim against both records. If ours show the item went in the box and the shipped weight matches, we will not issue a refund or a replacement.

Theft after delivery

Once tracking shows your order delivered to the address on that order, the risk of loss is yours. Check with your household and your neighbors, then your local carrier, before you contact us. We are not obligated to refund or replace a package stolen after delivery. We will help you file a carrier claim, and anything beyond that is a goodwill call we make case by case. A claim on a package marked delivered requires a police report and a signed statement from you. If porch delivery is a problem where you live, email us before you order and we will ship with signature required or hold it at a carrier pickup point.

Repeat or abusive claims

We look at claims across your whole order history, not one order at a time. Where the pattern points to abuse, such as repeat non-delivery or missing-item claims, claims that contradict our packing record or the carrier's data, or a refusal to cooperate with a carrier investigation, we can deny the claim, withhold any goodwill resolution, cancel open orders, and decline future business. Filing a knowingly false claim or a fraudulent chargeback is fraud, and we document it and report it.

7. Returns and refunds

The short form: samples are final sale for hygiene reasons, since they are hand filled personal care products that cannot be resold once they leave us. Unopened, factory sealed full bottles can go back within 30 days of delivery if the seal is fully intact. A bottle that has been sprayed, primed, or unsealed is not returnable, and a return that fails inspection goes back to you at your cost.

8. Content and trademarks

Our content

The copy, descriptions, graphics, layout, and code on this site belong to us or our licensors and are protected by copyright and trademark law. Product images are a mix of our own photos and images supplied by third parties, and those stay the property of their owners. You can browse the site and print a page for your own use. You cannot copy, republish, scrape, or build a competing catalog from our listings or descriptions without our written permission, and any third party image on this site stays subject to its owner's rights. The NY Fragrance Supply name, logo, and monogram are our marks, and using them without permission is not allowed.

Brand trademarks

All fragrance house names, logos, and product names are the trademarks of their respective owners. We use them only to describe the genuine products we sell. Nothing here grants you any rights in those marks.

Reviews and anything you send us

If you send us a review, photo, idea, or suggestion, you give us a perpetual, worldwide, royalty free license to use, edit, and display it, including for marketing, with no payment or obligation to keep it confidential. You confirm it is yours to give, that it is honest, and that you have disclosed anything you received for posting it. We can remove anything unlawful, abusive, or off base at our discretion, and we are not responsible for what customers post.

Third parties and Shopify

Our store runs on Shopify, and checkout, payments, and account pages are handled on their platform under their terms and privacy policy. Your purchase is still with us, not with Shopify, and you release Shopify from claims arising out of our sale to you. The site may also link to or embed third party tools and pages we do not control. Those are provided as is, at your own risk, and their terms apply once you leave our site.

9. Disclaimers and liability

Errors happen

Now and then a listing has a typo, a wrong price, a stale note, or bad stock data. We can correct errors, update information, and cancel an order placed on wrong information, even after you submit it, and we will refund you in full if we do.

Disclaimer of warranties

THE SITE AND EVERYTHING SOLD THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR FREE, OR THAT ANY PRODUCT WILL MEET YOUR EXPECTATIONS. SOME STATES DO NOT ALLOW THESE DISCLAIMERS, SO PARTS OF THIS MAY NOT APPLY TO YOU. THIS DOES NOT LIMIT OUR PROMISE THAT EVERY FRAGRANCE WE SELL IS AUTHENTIC.

Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS, NY FRAGRANCE SUPPLY AND ITS OWNERS, EMPLOYEES, CONTRACTORS, AND SUPPLIERS ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR REPLACEMENT COSTS, ARISING OUT OF YOUR USE OF THE SITE OR ANY PRODUCT BOUGHT THROUGH IT, EVEN IF WE WERE TOLD SUCH DAMAGES WERE POSSIBLE. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE AMOUNT YOU PAID FOR THE ORDER THE CLAIM RELATES TO.

Indemnification

You agree to cover and defend us, including reasonable legal fees, against third party claims that come out of your breach of these terms, your violation of a law or someone's rights, or your use of the site. We can take over the defense of such a claim at your expense, and you agree to cooperate.

10. Disputes and arbitration

Please read this section closely. It changes how a dispute between you and us gets decided, and it gives up your right to a jury trial and to take part in a class action, unless you opt out as described below.

Talk to us first

Almost everything gets solved by email. Before starting a formal claim, send us a written notice at our contact email describing the problem and what you want, and give us 30 days to work it out with you. Most disputes end here.

Binding individual arbitration

If we cannot resolve it, you and NY Fragrance Supply agree that any dispute relating to these terms, your orders, our products, or your use of this site, including anything that happened before you accepted these terms, will be settled by binding individual arbitration rather than in court. The Federal Arbitration Act governs this agreement to arbitrate, and it survives after you stop using the site.

Arbitration will be administered by the American Arbitration Association under its Consumer Arbitration Rules, as modified here. If the AAA is unavailable or unwilling to hear it, the arbitration will proceed under the rules of JAMS. The seat is Westchester County, New York, though you may choose to participate by phone or on documents alone. The arbitrator decides questions about the scope, validity, and enforceability of this arbitration agreement, and judgment on the award can be entered in any court with jurisdiction.

Either of us can still bring an individual claim in small claims court instead, as long as it stays individual and fits that court's limits.

Class action and jury trial waiver

YOU AND NY FRAGRANCE SUPPLY AGREE TO BRING CLAIMS AGAINST EACH OTHER ONLY IN AN INDIVIDUAL CAPACITY. YOU WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO BRING OR JOIN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION, WHETHER IN COURT OR IN ARBITRATION. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OR PRESIDE OVER A CLASS PROCEEDING.

How to opt out

You can reject the arbitration agreement and the class action waiver. Email us within 30 days of your first order or of first accepting these terms, whichever comes first, with your name, email, mailing address, and a clear statement that you are opting out of arbitration and the class action waiver. A valid opt out applies only to you, does not affect any claim already in arbitration or litigation, and changes nothing else in these terms. If any part of this section is held unenforceable, the rest of the section still applies, except that if the class action waiver is held unenforceable, this whole arbitration section does not apply to that claim.

11. Legal odds and ends

Governing law and where disputes go

These terms are governed by the laws of the State of New York, without regard to its conflict of law rules. If a claim is not subject to arbitration, or you have opted out, it has to be brought in the state or federal courts located in Westchester County, New York, and we both agree to that venue.

Privacy

We collect only what we need to fill orders and answer questions, and we do not sell customer data. Because the store runs on Shopify, information you submit is processed by Shopify and its service providers under their privacy policy. Questions about your data? Email us and we will tell you what we hold and delete it on request.

Termination

We can end your access to the site at any time, at our discretion, and you stay responsible for anything owed up to that point. The sections on intellectual property, feedback, disclaimers, liability, indemnification, and governing law survive.

Severability, waiver, whole agreement

If a court finds part of these terms unenforceable, that part is trimmed and the rest stands. Not enforcing a term once does not waive it later. These terms, with the policies they reference, are the entire agreement between us and replace anything said or written before. You cannot transfer your rights under them without our written consent; we can transfer ours. Headings are here for navigation and carry no legal weight. Ambiguities will not be read against whoever drafted the language.

Changes to these terms

The current version always lives on this page, with the last updated date at the top. We can update these terms by posting a new version, and material changes take effect on the date we note. Using the site after that means you accept the change.
